1. Who we are

Freeholder is a trading name of Crescent Code Limited, a company registered in England and Wales (company number 07076133) with its registered office at 7 Bell Yard, London WC2A 2JR, United Kingdom. In these Terms, "Freeholder", "we", "us" and "our" refer to Crescent Code Limited trading as Freeholder. "You" refers to the person purchasing or using our products.

2. About these Terms

These Terms apply to your purchase and use of any digital product sold by Freeholder via freeholder.dev. By completing a purchase, you confirm that you have read, understood and agree to be bound by them.

Freeholder publishes and sells digital goods, including:

4. Payments and Paddle as Merchant of Record

Our checkout and payment processing is provided by Paddle.com Market Limited ("Paddle"), a company registered in England and Wales (company number 08172165).

Paddle acts as our authorised reseller and the Merchant of Record for all purchases. This means that when you buy a product from us, Paddle is the seller of record on the transaction and is responsible for charging you, issuing your invoice, collecting and remitting any applicable taxes (such as UK VAT, EU VAT, or US sales tax), and handling chargebacks. The product itself is supplied by Freeholder.

Paddle's Buyer Terms and Conditions and Privacy Notice apply to the payment portion of your transaction.

5. Prices and taxes

Prices are shown on freeholder.dev and at checkout. Paddle will calculate and add any taxes applicable to your location and display the total before you confirm payment. Prices may change from time to time, but a change will not affect any order you have already placed.

6. Licence to use our products

When you purchase a digital product from Freeholder, we grant you a perpetual, non-exclusive, non-transferable, non-sublicensable licence to access and use that product for your own personal, non-commercial use. You do not own the product itself; you own a copy of it and a licence to use it.

Unless we expressly say otherwise in writing, you must not:

7. Delivery

Digital products are delivered electronically. After a successful purchase, you will receive an email from Paddle containing your receipt and a link or instructions for downloading or accessing the product. Delivery is usually within a few minutes. If you have not received your access details within a reasonable time, please check your spam folder and then contact support@freeholder.dev.

8. Refunds and cancellation

Our refund terms are set out in our Refund Policy, which forms part of these Terms.

9. Intellectual property

All intellectual property rights in our products, the freeholder.dev website, and all related content (including text, audio, images, designs, and software) are owned by Crescent Code Limited or our licensors. Nothing in these Terms transfers any of those rights to you, beyond the limited licence in section 6.

10. Updates and changes to products

From time to time we may release updates or new versions of our software products. Where reasonable, we will provide minor updates to existing customers at no additional charge, but we do not commit to any specific update schedule and major new versions may be sold separately. We may discontinue a product at any time; this will not affect any licence you already hold.

11. Our liability

Nothing in these Terms excludes or limits our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot lawfully be excluded or limited.

Subject to that, our total liability to you in connection with any product or these Terms is limited to the amount you paid for the relevant product. We are not liable for any indirect, consequential, or special loss, loss of profits, loss of business, loss of revenue, or loss of data.

12. Consumers

If you are a consumer, you have statutory rights under the Consumer Rights Act 2015 and other consumer protection legislation. Nothing in these Terms affects those rights.

13. Termination

You may stop using our products at any time. We may terminate your licence if you materially breach these Terms; in most cases we will tell you first and, where appropriate, give you a chance to fix the problem.

14. Changes to these Terms

We may update these Terms from time to time. The current version will always be available at freeholder.dev/terms, with the "Last updated" date at the top. Changes apply to purchases made after the date the updated Terms are published.

15. Governing law and jurisdiction

These Terms are governed by the laws of England and Wales. Any dispute will be subject to the exclusive jurisdiction of the courts of England and Wales, except that if you are a consumer resident in another part of the UK, you may also bring proceedings in the courts of that part.
